Terms of Service

1. Agreement to Terms

By accessing or using Verdant Commerce (“the Service”), operated by Ashley Verdant Limited (NZBN pending) (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Verdant Commerce is a software-as-a-service platform that helps ecommerce brands track profit margins, inventory levels, and freight costs. The Service is provided on a subscription basis.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract under New Zealand law. By using the Service, you represent that you meet these requirements.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions and Pricing

The Service is offered on Weekly ($49/week NZD), Monthly ($149/month NZD), and Annual ($1,249/year NZD) plans. All prices are in New Zealand Dollars and exclude GST unless stated otherwise.

We reserve the right to change pricing with 30 days' written notice to your registered email address. Price changes will take effect at the start of your next billing cycle.

6. Money-Back Guarantee

New subscribers are eligible for a 30-day money-back guarantee from the date of their first payment. To request a refund, contact us at cooper@ashleyverdant.co.nz within 30 days. Refunds are processed within 5 business days. After the 30-day window, payments are non-refundable.

7. Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation, your access continues until the end of your current billing period. No partial refunds are provided for unused time outside of the 30-day money-back guarantee.

8. Your Data

You retain all ownership of data you provide to the Service. We do not sell your data to third parties. By using the Service, you grant us a limited licence to process your data solely to provide and improve the Service. See our Privacy Policy for full details.

9. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorised access to the Service or its systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell or redistribute the Service without our written consent
• Interfere with the security or integrity of the Service

10. Availability and Uptime

We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for any downtime, data delays, or service interruptions.

11. Limitation of Liability

To the maximum extent permitted by New Zealand law, our total liability arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits or data.

12. Disclaimer

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the Service will be error-free or that the data provided is completely accurate. The Service is not a substitute for professional accounting or financial advice.

13. Intellectual Property

All rights, title, and interest in the Service (including its design, code, and branding) remain with Ashley Verdant Limited. These Terms do not grant you any rights to our trademarks, logos, or other intellectual property.

14. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of the courts of New Zealand.
